Ingenious Corporate Finance advised The Carlyle Group and management shareholders of Inmedia Communications, a leading independent UK provider of broadcast and media infrastructure services, on its sale to Arqiva for £68.5 million in July 2005. Arqiva, formerly NTL Broadcast, was owned by a consortium led by Macquarie Communications Infrastructure Group.
Ingenious executed the transaction on an accelerated and tightly controlled timetable, during which Arqiva were granted access to information in a two-stage due diligence process. This controlled process allowed Inmedia to hold back sensitive commercial information until the final stages of the transaction once price and other key conditions had been confirmed. The transaction was completed in less than six weeks from the granting of exclusivity.
